1. Acceptance of Terms
By accessing or using OVERHYPED.WTF (the "Platform"), including our website, APIs, embeddable widgets, and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. We may update these Terms at any time, and your continued use after such changes constitutes acceptance of the revised Terms.
2. Description of Service
OVERHYPED.WTF is a gamified waitlist and community engagement platform designed for Web3 project launches. The Platform provides tools including embeddable widgets, leaderboards, referral tracking, on-chain verification, point systems (HYPED), spin-to-win mechanics (THE WHEEL), squad formation, streaks, secret codes, and other gamification features. The Platform is provided on a software-as-a-service (SaaS) basis across Free, Launch, Studio, and Enterprise tiers.
3. User Accounts
Project owners ("Operators") create accounts through our Mission Control dashboard. End users ("Participants") interact with the Platform primarily through wallet-based authentication (e.g., Solana wallets such as Phantom or Solflare). No passwords or email addresses are required for Participants. You are responsible for maintaining the security of your wallet and any credentials associated with your account. You agree to notify us immediately of any unauthorized use of your account.
4. Wallet-Based Authentication
The Platform uses cryptographic wallet signatures for authentication. By connecting your wallet, you authorize the Platform to read your public wallet address, verify on-chain data (such as SOL balance, token holdings, NFT ownership, and wallet age), and associate this data with your Platform profile. All on-chain data accessed by the Platform is publicly available on the Solana blockchain.
5. HYPED Points and Virtual Rewards
HYPED points and any other virtual rewards, scores, ranks, tiers, or statuses earned on the Platform have no monetary value and cannot be exchanged, traded, or redeemed for cash, cryptocurrency, or any other form of payment unless explicitly stated by an Operator for their specific project. HYPED points exist solely as engagement metrics within the Platform. We reserve the right to adjust, reset, or modify point balances at any time.
6. Prohibited Use
You agree not to: (a) use the Platform for any unlawful purpose or in violation of any applicable law or regulation; (b) attempt to manipulate leaderboards, referral systems, or point balances through bots, scripts, multiple wallets controlled by the same person (sybil attacks), or other automated or fraudulent means; (c) interfere with or disrupt the Platform or its infrastructure; (d) reverse-engineer, decompile, or disassemble any part of the Platform; (e) use the Platform to distribute malware, spam, or phishing content; (f) impersonate any person or entity; (g) scrape or harvest data from the Platform without authorization; or (h) circumvent any security measures or access controls. Violation of these terms may result in immediate termination and forfeiture of all accumulated HYPED points.
7. Operator Responsibilities
If you are an Operator, you are solely responsible for: (a) the content and configuration of your project; (b) compliance with all applicable laws regarding your waitlist, including any token launch, airdrop, or promotional activity; (c) ensuring that your use of the Platform does not constitute an unregistered securities offering; (d) any promises made to Participants regarding rewards, airdrops, or token allocations; and (e) your own privacy policy and terms of service as they apply to your Participants. OVERHYPED.WTF is a tool provider and does not endorse, verify, or guarantee any project listed on the Platform.
8. Intellectual Property
The Platform, including its design, code, features, branding, and documentation, is owned by OVERHYPED.WTF and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms and your subscription tier. Operators retain ownership of their project content, branding, and user data. You may not use the OVERHYPED.WTF name, logo, or branding in any way that implies endorsement without prior written consent.
9. Data and Privacy
Our collection and use of data is governed by our Privacy Policy. By using the Platform, you consent to the collection and use of data as described therein. Operators acknowledge that Participant wallet addresses and on-chain activity are publicly available and that the Platform processes this data to provide its services.
10. Third-Party Services
The Platform may integrate with or rely on third-party services, including blockchain networks (Solana), wallet providers, and hosting infrastructure. We are not responsible for the availability, accuracy, or reliability of any third-party service. Your use of third-party services is subject to their respective terms and conditions.
11. Limitation of Liability
To the maximum extent permitted by applicable law, OVERHYPED.WTF and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, tokens, or cryptocurrency, arising from or related to your use of the Platform. Our total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to OVERHYPED.WTF in the twelve (12) months preceding the claim. The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
12. Indemnification
You agree to indemnify, defend, and hold harmless OVERHYPED.WTF and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive. You may terminate your account at any time by discontinuing use of the Platform and contacting us to request account deletion.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via the email address associated with your Operator account (if applicable). Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.
